The CHARLES SIDI PLLC Client Portal ("the Portal") and all Associated Intellectual Property are owned exclusively by CHARLES SIDI PLLC. All rights are reserved.

For the purposes of this Legal Notice, Associated Intellectual Property includes, without limitation, the Portal's software, source code, databases, timeline logic, Arizona real estate transaction workflows, checklists, organizational methods, written content, graphics, branding, logos, design system, user interface, documentation, functionality, presentation methods, and all other original works created by CHARLES SIDI PLLC.

The Portal has been developed using third party software development, artificial intelligence, hosting, cloud infrastructure, and related technology platforms. Those providers retain ownership of their respective software, services, platforms, tools, and technologies. The completed Portal, together with its original design, branding, business logic, workflows, content, and all Associated Intellectual Property created by CHARLES SIDI PLLC, remains the exclusive property of CHARLES SIDI PLLC, subject only to the applicable license terms governing those third party technologies.

Information you enter, upload, or otherwise provide through the Portal, including transaction details, documents, notes, feedback, messages, photographs, contact information, and other transaction related records, remains your property.

By using the Portal, you grant CHARLES SIDI PLLC a limited, non exclusive, revocable license to store, display, process, transmit, and use that information solely for the purpose of managing your real estate transaction, communicating with you, providing brokerage services, maintaining legally required business records, and operating the Portal.

You may request access to your personal information, request corrections where appropriate, or request deletion of information, subject to applicable legal, regulatory, brokerage, and record retention requirements. Please refer to the Privacy Policy for further information.

Authorized clients and invited transaction participants may:

• Access the Portal to monitor and manage their own transaction.
• View, download, print, and share documents relating to their own transaction.
• Install and use the Portal on personal computers, tablets, and mobile devices for personal, non commercial use.
• Communicate with Charles Sidi and authorized transaction participants using Portal features.

Without the prior written consent of CHARLES SIDI PLLC, users may not:

• Copy, reproduce, distribute, modify, publish, license, sell, or create derivative works from the Portal or any Associated Intellectual Property.
• Copy or reuse the Portal's workflows, transaction timelines, checklists, organizational systems, presentation methods, or user experience in another product or service.
• Reverse engineer, decompile, disassemble, scrape, or attempt to extract the Portal's software, databases, or proprietary functionality.
• Bulk export, harvest, or collect Portal data except as expressly permitted.
• Access another person's transaction, documents, or confidential information without authorization.
• Remove, alter, or obscure any copyright, trademark, or proprietary notices.
• Use the Portal or any of its branding in any manner that suggests sponsorship, endorsement, ownership, or affiliation that does not exist.
• Use the Portal for any unlawful purpose or in any manner that interferes with its operation, integrity, or security.

No part of the Portal or its Associated Intellectual Property may be copied, reproduced, modified, adapted, distributed, published, displayed, transmitted, licensed, sold, reverse engineered, decompiled, disassembled, or used to create derivative works without the prior written consent of CHARLES SIDI PLLC, except as permitted by applicable law.

Unauthorized use of any portion of the Portal or its Associated Intellectual Property may violate copyright, trademark, trade secret, and other applicable laws.

The Portal incorporates proprietary transaction management methods, workflow sequences, timeline structures, organizational systems, client communication processes, presentation methodologies, user experience concepts, and operational logic independently developed by CHARLES SIDI PLLC.

The selection, arrangement, coordination, organization, and presentation of these features constitute original works and valuable proprietary intellectual property.

Nothing contained within the Portal grants any person or entity the right to copy, imitate, reproduce, adapt, commercialize, or otherwise exploit the Portal's proprietary methodologies, workflows, organizational structures, user experience concepts, presentation formats, or operational logic without the prior written consent of CHARLES SIDI PLLC.

Certain features, processes, workflows, methodologies, software functionality, or innovations contained within the Portal may be the subject of existing or future patent applications or other forms of intellectual property protection.

Nothing contained within the Portal grants any license or right under any patent, patent application, copyright, trademark, trade secret, or other intellectual property rights owned by CHARLES SIDI PLLC.

Certain features of the Portal may utilize artificial intelligence technologies to assist with organization, search, document analysis, summaries, reminders, recommendations, or informational content.

Artificial intelligence generated content is provided solely as a convenience and should always be independently reviewed.

Users should not rely exclusively upon AI generated information when making legal, contractual, financial, tax, or other important decisions.

CHARLES SIDI PLLC does not guarantee the completeness, accuracy, or suitability of AI generated content and accepts no liability arising from reliance upon such information.

The Portal utilizes third party software, artificial intelligence services, hosting providers, cloud infrastructure, mapping services, analytics platforms, application programming interfaces, and open source software where appropriate.

Each third party component remains the intellectual property of its respective owner and is governed by its own applicable license terms and conditions.

The use of these technologies does not transfer ownership of the Portal or any Associated Intellectual Property created by CHARLES SIDI PLLC.

The Portal is intended as a client communication and transaction management platform.

Timelines, deadlines, reminders, milestone dates, calculations, checklists, and informational content are provided solely as a convenience and are based upon standard Arizona real estate practices and information available at the time.

The executed purchase contract, escrow instructions, title documents, lender requirements, and applicable law shall always control in the event of any discrepancy.

The Portal does not provide legal, tax, accounting, lending, financial, insurance, or other professional advice. Users should consult their attorney, accountant, lender, title company, insurance professional, or other qualified advisor regarding matters requiring professional judgment.

The Charles Sidi name, the SIDI logo, together with all associated brand colors, trademarks, service marks, logos, visual identity, trade dress, and related intellectual property are the exclusive property of CHARLES SIDI PLLC.

The The Brokery name, logo, brand colors, trademarks, service marks, visual identity, trade dress, and related intellectual property are the exclusive property of Bortlock LLC.

The use of The Brokery name and branding within the Portal is solely for the purpose of identifying Charles Sidi's brokerage affiliation as a licensed real estate professional.

CHARLES SIDI PLLC has no ownership, license, or other rights in or to The Brokery name, logo, trademarks, service marks, brand colors, visual identity, trade dress, or any other intellectual property owned by Bortlock LLC, except as necessary to accurately identify Charles Sidi's brokerage affiliation.

The Portal is an independent application owned and operated by CHARLES SIDI PLLC and is provided as a client communication, information, and transaction management platform.

The Portal is not owned, operated, sponsored, endorsed, approved, or controlled by Bortlock LLC or The Brokery.

References to The Brokery are included solely for the purpose of identifying Charles Sidi's brokerage affiliation as a licensed real estate professional.

Nothing contained within the Portal shall be interpreted as granting CHARLES SIDI PLLC, or any user of the Portal, any ownership, license, partnership, agency, franchise, endorsement, or intellectual property rights in or to The Brokery brand beyond the descriptive use necessary to identify Charles Sidi's brokerage affiliation.

All third party trademarks, service marks, trade names, logos, and other intellectual property appearing within the Portal remain the property of their respective owners and are used only where permitted by law or with appropriate authorization.

Except as expressly stated herein, all rights, title, and interests in and to the Portal and its Associated Intellectual Property are reserved exclusively by CHARLES SIDI PLLC.

No license or other right is granted to any user by implication, estoppel, waiver, or otherwise.

Failure by CHARLES SIDI PLLC to enforce any provision of these Terms shall not constitute a waiver of any right or provision.

If any provision of these Terms is determined to be unenforceable, the remaining provisions shall continue in full force and effect.
